Rolan’s main practice areas are M&A, corporate law and taxation. He has advised a number of high-profile M&A transactions as a lead counsel, focusing primarily on the fields of logistics, infrastructure and IT. He has been described as “responsive, solution-focused and highly communicative” (Chambers Global 2020), „hard-working, available, leaving no loose ends and having a results-oriented approach“ (Chambers Global 2019) and „attracting particular recognition for his expertise in tax matters“ (Chambers Europe 2018).

  • Advising the shareholders of Piano Group, operator of Vapiano restaurants in the Baltics and Finland, on the sale of 100% shares to Apollo Group.
  • Advising the seller of 100% shares in Transiidikeskuse AS, operator of one of the largest container and general cargo terminals in the Baltics, to Hamburger Hafen und Logistik AG (HHLA), German logistics conglomerate listed on Frankfurt Stock Exchange.
  • Advising Kunda Nordic Tsement (part of HeidelbergCement group, one of the largest cement and concrete producers globally) on the sale of the Port of Kunda to BMLG group.
  • Advising Corel Corporation, Canadian software group, on acquisition of Parallels’s business, as a local counsel in cooperation with Sidley Austin LLP.
  • Analysis of the Estonian investment funds legislation and development of the fiscal transparency rules for the Estonian limited partnership fund vehicle. The work was commissioned by the EBRD.
  • Advising Intertrust Technologies Corporation on acquisition of Planet OS, an Estonian-based geospatial big data service provider.
  • Advising the shareholders of Nortal on buying back 50% shareholding from Enterprise Investors and LHV Pension Fund.
