Experience
  • Comprehensive legal assistance to Energia verde SIA (company producing the combined biomass heat and power plant among the largest companies in its field) by attracting investors for the project - construction of the heat and power supply station and in various corporate matters.
  • Representation of more than 20 Nordic Partners and Orkla group companies and three private individuals in a claim for damages in the amount of more than 8,2 M EUR. The case has obtained wide resonance in Latvia, being possibly a previously planned hostile takeover, it involves such companies and brands well-known in Latvia and beyond its borders as sweets producers Laima AS and Staburadze AS, beverages producer Gutta AS (currently Orkla group companies).
  • Comprehensive legal assistance to ensure opening of LHV Pank branch in the Republic of Latvia, including elaboration of internal and external rules required for operation of the branch, such as anti-money laundering and terrorism financing prevention, outsourcing, internet banking, deposits, payment services, investment services, general terms and conditions, debit/credit cards, customers’ data processing, provision of credit limits. February 2016, the bank made a decision to leave the Latvian market, therefore Primus was advising bank regarding closing the branch.
  • Consulting of various corporate issues of Uctam Baltics SIA (a subsidiary of UniCredit Group) on everyday basis.
  • Advise to UAV FACTORY Ltd. (one of the world’s leading developers of unmanned composite airframes) on everyday basis, including in cross-border matters and various corporate and M&A matters.
  • Assisting AS DNB Banka on everyday basis and providing legal assistance with respect to restructuring of loans, including drafting of respective agreements, issuing legal opinions and representing the bank’s interests in litigation proceedings regarding “reversal” claims (when upon realization of a pledge the debtor is raising a claim on its merits). Since August 2011 the team led by Sintija have rendered legal advice with respect to restructuring of loans in the total amount of more than EUR 15 million.
  • Assisting of everyday basis L-EKSPRESIS SIA (one of the biggest companies in Latvia providing international and local passenger traffic by railway) on various matters.
  • Rendering legal advice on daily basis to LSEZ Dan Store SIA (multi-bulk terminal that serves as an outlet for agricultural exports and it is also the main terminal for importing soybean meal and malting barley into the region) on various matters.
  • Advising client ALPHA SHIPPING COMPANY SIA on everyday basis on various shipping matters.
  • Advising PepsiCo group companies on everyday basis on various employment related matters.
